Tanggung Jawab Direksi Perusahaan Holding Bumn Terhadap Tindakan Anak Perusahaan Pada Tindak Pidana Korporasi

Badan Usaha Milik Negara (BUMN) sebagai salah satu pilar penopang perekonomian Indonesia dewasa ini mengalami transformasi guna mendorong BUMN menjadi badan usaha yang secara produktif dan efisien yaitu dengan membentuk perusahaan-perusahaan holding BUMN. Holding BUMN sebagai entitas induk secara operasional melakukan pengawasan maupun koordinasi kepada entitas anak perusahaan yang berada di dalam holding BUMN tersebut. Penelitian ini dilakukan guna mengetahui sejauh mana tanggung jawab Direksi holding BUMN sebagai induk terhadap tindakan anak perusahaannya yang mengalami kerugian terutama yang menimbulkan dampak pidana korporasi. Penelitian ini akan dilaksanakan dan tegolong sebagai penelitian yuridis normatif dengan melakukan analisa peraturan perundang-undangan dan pendekatan konseptual. Adapun untuk data penelitian yang digunakan terdiri dari bahan hukum dan bahan non hukum melalui studi dokumen hukum dan studi kepustakaan. Hasil penelitian ini menunjukan bahwa tanggung jawab Direksi induk perusahaan holding BUMN terhadap kerugian entitas anak perusahaan BUMN tidak dapat dimintai pertanggungjawaban disebabkan adanya prinsip separate legal entity maupun limited liability kecuali dapat dibuktikan bahwa induk perusahaan memenuhi doktrin piercing the corporate veil.
